Terms of Service

1. Agreement to Terms

By accessing or using Deckmetric ("Service"), operated by Shepard&Young, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Service

Deckmetric provides AI-powered pitch deck analysis, valuation estimates, and scoring against institutional investor frameworks. The Service includes free features (valuation calculator, limited analysis) and premium features (detailed feedback, unlimited analyses, version tracking) available through paid subscriptions.

3. Account Registration

To use certain features, you must:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Be at least 18 years old or the age of majority in your jurisdiction
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscriptions and Payments

4.1 Billing

Premium subscriptions are billed in advance on a monthly or annual basis. Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for recurring fees until you cancel.

4.2 Cancellation

You may cancel your subscription at any time through your Account page. Upon cancellation, you will retain access to premium features until the end of your current billing period. No refunds are provided for partial billing periods.

4.3 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will not affect your current billing period.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Attempt to reverse engineer, decompile, or extract our algorithms
• Use automated systems (bots, scrapers) to access the Service
• Share account credentials or allow unauthorized access
• Upload malicious files or content designed to harm our systems
• Resell, sublicense, or commercially exploit the Service without authorization
• Interfere with or disrupt the Service or its infrastructure

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, algorithms, frameworks, and content created by us, is owned by Shepard&Young and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials without written permission.

6.2 Your Content

You retain ownership of pitch decks and content you upload. By uploading content, you grant us a limited license to process and analyze it solely for providing the Service. We do not claim ownership of your content or use it for purposes beyond service delivery.

6.3 Third-Party Frameworks

References to third-party investor frameworks (e.g., Y Combinator, Sequoia, a16z) are based on publicly available information and do not imply endorsement, affiliation, or approval by those entities. All trademarks belong to their respective owners.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of analysis results
• Uninterrupted or error-free operation
• That results will meet your expectations or lead to funding

Valuation estimates and AI-generated feedback are for informational purposes only and do not constitute financial, investment, legal, or tax advice. Results cannot and do not guarantee investment outcomes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEPARD&YOUNG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Shepard&Young, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) shall survive.

11. Governing Law and Disputes

These Terms shall be governed by the laws of the United Arab Emirates. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of Dubai, UAE, and you consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shepard&Young regarding the Service and supersede any prior agreements.
